INTRODUCTION
Thank you for your interest in MailRanky.ai. These Terms of Use (Agreement) are a legally binding agreement between MailRanky.ai ("MR", "the Company", "We" or "Us") and between you ("User" or "You") and constitute the legal basis for using MailRanky's service ("Service").
1. GENERAL PROVISIONS
1.1. The subject of the Agreement is the provision of Services by MailRanky.ai to the User.
1.2. MailRanky.ai provides the Services to the User in accordance with the Tariffs and the Terms of Use.
1.3. MailRanky.ai reserves the right, at its sole discretion, to modify or replace any part of this Agreement. Changes come into effect from the moment the new edition of the Agreement is published on the Site (http://mailranky.com).
1.4. The current pricing terms and tariff plans are published on http://mailranky.com.
1.5. The Service is provided by MailRanky.ai to you on an "as is" and "as available" basis. MR is not responsible for non-fulfillment or improper fulfillment of obligations under the contract, as well as for possible damage incurred for the User.
1.6. By using MailRanky.ai or registering an account, you are agreeing to this Agreement, which will result in a legal agreement between you and Mailranky.ai. The Agreement is concluded for an uncertain term and can be terminated at the initiative of either party at any time.
1.7. If you do not agree to all the terms and conditions of this Agreement, in this case, you may not use any of our Services in any manner whatsoever.

2. AGE RESTRICTION
2.1. The User must be at least 18 (eighteen) years of age to pay for the Product and Services.
3. SERVICES
3.1. MailRanky.ai, using its software product (Product), provides Services for the preparation of files (provided by the User) for use by automated mailing systems. Preparation may include (examples may be supplemented or excluded):
• correction of grammatical and syntax mistakes;
• correction (generally accepted) of the name of organizations, positions, functionality.
3.2. MailRanky.ai is not responsible for the accuracy of the data contained in the file after the provision of the Service.
3.3. MailRanky.ai is not responsible for the consequences of the further use of the data by the User (available upon receipt of the Services from MailRanky.ai), including for possible damage caused to a third party by the User.

4. PAYMENT AND FEES
4.1. For getting the access to Services that MailRanky.ai offers, the User will be required to register, create an account, and pay fees according to the applicable tariffs at the time of payment.
4.2. Payment method - advanced payment.
4.3. To make a payment, the User must create his account on the Site http://mailranky.com. Creating a User's account can be done by providing specific details (full name, personal or work (business) email address) through the App.
4.4. To make a payment by credit/debit card, the User authorizes Mailranky.ai to use a third party (BePaid) to process payments, and consent to the disclosure of their payment information to such third party.
4.5. Payment by bank transfer to the account of MailRanky.ai is carried out according to the bank details that are published on the Site http://mailranky.com.
4.6. Belarusian ruble is the payment currency for Users who are located on the territory of the Republic of Belarus. For other users, the payment currency is the US dollar.
4.7. When the User makes the payment and this operation accomplish successfully, they will get the notice about this to the email ("Email") address provided by them and maintained under their account.
4.8. When the User purchases the Service, they are issued credits according to MailRanky's tariff plan at the start of the billing period. These credits will be automatically charge off according to the price list as the Services are received.
4.9. All unused credits are annulled at the end of the billing period according to the tariff plan.
4.10. MailRanky.ai reserves the right to provide its users free credits and discounts.
4.11. MailRanky.ai reserves the right to change the tariff plan and price list unilaterally notifying Users about it on the Site http://mailranky.com.
4.12. If the User paid for the Services by bank transfer from a legal entity, MailRanky.ai sends an act of services delivered (issued credits) for the entire amount of payment, by the 15th day of the calendar month following the month of payment.
4.13. The Services are considered to be provided by MailRanky.ai in a proper manner and accepted by the User in the full amount of the act, if within 15 days after sending the act, the MailRanky.ai has not received motivated written objections from the User.
4.2. Payment method - advanced payment.

5. INTELLECTUAL PROPERTY
5.1. The User agrees that the Site, the Product, the Services are provided by MailRanky.ai are the property of the Company, including all copyrights, trademarks, trade secrets, patents, and other intellectual property ("Company IP").
5.2. This Agreement does not transfer from MailRanky.ai to the User any Company IP or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with MailRanky.ai.
5.3. The User agrees will not use the Company IP for any unlawful or infringing purpose. The Users agrees not to reproduce or distribute the Company IP in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from the Company.
5.4. The User grants MailRanky.ai the right to use the User's logo, trademark and brand name for information, advertising and marketing purposes related to the Site, without the need to obtain additional consent from the User and without paying him any remuneration for such use.
5.2. This Agreement does not transfer from MailRanky.ai to the User any Company IP or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with MailRanky.ai.
5.3. The User agrees will not use the Company IP for any unlawful or infringing purpose. The Users agrees not to reproduce or distribute the Company IP in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from the Company.
5.4. The User grants MailRanky.ai the right to use the User's logo, trademark and brand name for information, advertising and marketing purposes related to the Site, without the need to obtain additional consent from the User and without paying him any remuneration for such use.
6. PRIVACY
6.1. Through their use of the Site, the Product, and the Services, the User may provide MailRanky.ai with certain information. By using the Site, the Product, or the Services, the User authorizes the Company to use their information for operating purposes.
6.2. When acting as a data processor, MailRanky.ai may process, store, use the following data in order to provide the Service: any personal data (full name, title, place of work, email, etc.), including personal data of third parties, which the User uploads to the Platform.
6.3. MailRanky.ai is not responsible for the way that was used by the User when they received the data transmitted later for processing to MailRanky.ai.
6.2. When acting as a data processor, MailRanky.ai may process, store, use the following data in order to provide the Service: any personal data (full name, title, place of work, email, etc.), including personal data of third parties, which the User uploads to the Platform.
6.3. MailRanky.ai is not responsible for the way that was used by the User when they received the data transmitted later for processing to MailRanky.ai.
7. LIMITATION OF USE
7.1. The User may not use the Product and the Services in any manner that is or may be found by as, at MailRanky's sole discretion as:
- violating or infringing in any way upon the rights of others;
- unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, or otherwise objectionable;
- encouraging conduct that would constitute a criminal or civil offense;
- gives rise to civil liability;
- access MailRanky.ai servers and the Product through unauthorized means, such as unlicensed software clients;
- violates any applicable local, state, federal, or international law, ordinance including any regulations requirements, procedures, or policies in force from time to time, or any right of any third party, including without limitation, any right of privacy or publicity.
7.2. The User may not use the Site, the Product, and the Services in any manner that could disable, overburden, damage, or impair the Company, or interfere with any other party's use and enjoyment of the Site, the Product, and the Services; including by (a) uploading or otherwise disseminating any virus, adware, spyware, worm or other malicious code, or (b) interfering with or disrupting any network, equipment, or server connected to or used to provide any of the services, or violating any regulation, policy, or procedure of any network, equipment, or server.
7.3. The User may not impersonate another person or entity, or misrepresent your affiliation with a person or entity when using the services; you may not use or attempt to use another's account or personal information. The User may not attempt to gain unauthorized access to data or the Site, the Product, the Services, or the computer or mobile systems or networks connected to the Site, the Product, the Services, through hacking password mining or any other means; Otherwise violating these Terms or creating liability for MailRanky.ai.
7.4. The User may not undertake any conduct that, in our judgment, restricts or inhibits any other user from using or enjoying the Site, the Product, the Services.
- violating or infringing in any way upon the rights of others;

8. THIRD-PARTY LINKS & CONTENT
8.1. Mailranky.ai may occasionally post links to third-party websites or other services. The User will need to make their own independent judgment regarding their interaction with linked sites at their own risk. The Users agrees that the Company is not responsible or liable for any loss or damage caused as a result of their use of any third party services linked from the Site.
9. TERMINATION
9.1. MailRanky.ai reserves the right to terminate user's Account and/or their access to and/or use of all or any part of the Site, the Product, the Services at any time, with or without cause, with or without notice, effective immediately and without liability, which may involve deletion of their user content associated with their account from MailRanky's databases. The User agrees that MailRanky.ai will not be liable to their or to any third party for such removal. If the User has registered for an account with MailRanky.ai, the User may also terminate this agreement at any time by contacting us and requesting termination.
9.2. The User may terminate this Agreement at any time by contacting Mailranky.ai at support@mailranky.com.
9.3. Applicable fees are not refundable once termination of the Agreement.
9.4. MailRanky.ai reserves the right to delete all User's data collected by the User from an account if that account has not been used for over 90 days.

10. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
10.1. DISCLAIMER OF WARRANTIES. THE SERVICES, THE PRODUCT, AND ANY CONTENT, ARE PROVIDED BY MAILRANKY.AI TO THE USER ON AN "AS IS," "AS AVAILABLE" BASIS, EXCEPT AS EXPRESSLY SET FORTH IN THE TERMS. MAILRANKY.AI DOES NOT MAKE ANY OTHER WARRANTY OF ANY KIND WHETHER EXPRESS, STATUTORY AND/OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND/OR FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND FROM COURSE OF DEALING, USAGE AND/OR TRADE PRACTICE, ALL OF WHICH MAILRANKY.AI EXPRESSLY DISCLAIMS. WITHOUT LIMITING THE FOREGOING, MAILRANKY.AI AND/OR ITS LICENSORS, PARTNERS AND CONTENT PROVIDERS MAKE NO WARRANTY THAT (I) THE SERVICES AND/OR CONTENT WILL MEET THEIR REQUIREMENTS AND/OR WILL BE CONSTANTLY AVAILABLE, UNINTERRUPTED, TIMELY, SECURE AND/OR ERROR-FREE; (II) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE EFFECTIVE, ACCURATE AND/OR RELIABLE; (III) ANY CONTENT AND/OR PRODUCT AVAILABLE AT AND/OR THROUGH THE SERVICES IS FREE OF VIRUSES AND/OR OTHER HARMFUL COMPONENTS AND/OR (IV) MAILRANKY.AI WILL NOT BE LIABLE AND/OR OTHERWISE RESPONSIBLE FOR ANY FAILURE AND/OR DELAY IN UPDATING THE SERVICES AND/OR ANY CONTENT. NO ADVICE AND/OR INFORMATION, WHETHER ORAL AND/OR WRITTEN, OBTAINED BY THE USER FROM MAILRANKY.AI AND/OR THROUGH THEIR ACCESS TO AND/OR USE OF THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
10.2. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO SIXTY (60) DAYS FROM THE DATE OF FIRST USE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MAILRANKY.AI AND/OR ITS AUTHORIZED REPRESENTATIVES WILL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO THE USER.
10.3. LIMITATION OF LIABILITY. IN NO EVENT WILL MAILRANKY.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AFFILIATES, SUCCESSORS OR ASSIGNS (TOGETHER "MAILRANKY.AI PARTIES"), BE LIABLE TO ANY PARTY (1) FOR ANY INDIRECT, DIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR DATA, LOSS OF GOODWILL, OR INFORMATION, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES AND THE LIKE), OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE PRODUCT OR SERVICES, EVEN IF MAILRANKY.AI PARTIES SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE; OR (2) FOR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN, OR DESTRUCTIVE PROPERTIES OF ANY OTHER SOFTWARE OR OTHER CONTENT INCLUDED AS PART OF THE PRODUCT OR SERVICES.
10.4. Without derogating any of the above, If for any reason: (i) MailRanky.ai will not be able to provide the User its Services through a specific software; or if (ii) any software's terms of use shall require that the User ceases using our Product, deny their access to our Product when using the software or terminate user's software's account, MailRanky's Parties will not be liable to any damages, as stipulated in this section.
10.5. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, MailRanky.ai Parties' liability shall be limited to the extent permitted by applicable law. MailRanky.ai Parties' entire liability and user's exclusive remedy with respect to any dispute with MailRanky.ai Parties (including without limitation their use of the Product or Services) is to discontinue their use of MailRanky.ai Services and the Product and request for the removal of their data as described in detail under the Privacy Policy. Mailranky.ai does not endorse, warrant, or guarantee any product or service offered through the Services and will not be a party to or in any way be responsible for monitoring any transaction between the User and third-party providers of such products or services.
10.2. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO SIXTY (60) DAYS FROM THE DATE OF FIRST USE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MAILRANKY.AI AND/OR ITS AUTHORIZED REPRESENTATIVES WILL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO THE USER.
10.3. LIMITATION OF LIABILITY. IN NO EVENT WILL MAILRANKY.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AFFILIATES, SUCCESSORS OR ASSIGNS (TOGETHER "MAILRANKY.AI PARTIES"), BE LIABLE TO ANY PARTY (1) FOR ANY INDIRECT, DIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR DATA, LOSS OF GOODWILL, OR INFORMATION, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES AND THE LIKE), OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE PRODUCT OR SERVICES, EVEN IF MAILRANKY.AI PARTIES SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE; OR (2) FOR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN, OR DESTRUCTIVE PROPERTIES OF ANY OTHER SOFTWARE OR OTHER CONTENT INCLUDED AS PART OF THE PRODUCT OR SERVICES.
10.4. Without derogating any of the above, If for any reason: (i) MailRanky.ai will not be able to provide the User its Services through a specific software; or if (ii) any software's terms of use shall require that the User ceases using our Product, deny their access to our Product when using the software or terminate user's software's account, MailRanky's Parties will not be liable to any damages, as stipulated in this section.
10.5. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, MailRanky.ai Parties' liability shall be limited to the extent permitted by applicable law. Mailranky.ai does not endorse, warrant, or guarantee any product or service offered through the Services and will not be a party to or in any way be responsible for monitoring any transaction between the User and third-party providers of such products or services.
11. INDEMNIFICATION
11.1. The User agree to defend, indemnify and hold harmless MailRanky.ai, its officers, employees, respective subsidiaries, affiliates, assigns harmless and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) their use of and access to the Product/Services; (ii) their violation of any term of this Agreement; (iii) their violation of any third party right, including without limitation any copyright, property, or privacy right; (iv) their violation of any applicable law, rule or regulation; (v) any other party's access and use of the Service with their unique username, password or other appropriate security code or (vi) any claim that one of their act or omission caused damage to a third party.
12. CHANGES
12.1. MailRanky.ai reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is the User's responsibility to check this Agreement periodically for changes. The User agrees that their continued use of the Product/Services after such changes have been published will constitute their acceptance of such revised Agreement and operating rules, policies and/or procedures (as applicable). If the User does not agree with the changes and/or modifications, the User will not use the Product, the Services after the effective date of the changes.
13. MISCELLANEOUS
13.1. Language. All communications made or notices given pursuant to this Agreement shall be in the English/ Belarusian/Russian languages.
13.2. Jurisdiction and Governmental Law. These Agreements, as well as all disputes arising out of or in connection with these Terms, shall be governed by and construed in accordance with the laws of the Republic of Belarus, regardless of choice of law rules or principles. Any dispute arising out of or in connection with these Terms, or in future agreements resulting therefrom, shall be exclusively resolved before the competent court in Minsk.
13.3. International Use. Recognizing the global nature of the Internet, the User agrees to comply with all local rules regarding online conduct and privacy. Specifically, the User agrees to comply with all applicable laws regarding privacy and privacy invasion which apply in the country in which the User resides.
13.4. No support by MailRanky.ai. The User understands that their use of the Product and Services is at their own risk and that MailRanky.ai may – but under no obligation to – provide support or assistance other than the information posted on the Site.
13.5. Severability. If any part or sub-part of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.
13.6. No waiver. The failure or delay of us to exercise or enforce any rights or provision of this Agreement does not constitute a waiver of such right or provision.
13.7. Assignment. The User will not transfer, assign, sublicense nor pledge in any manner whatsoever, any of their rights or obligations under this Agreement. MailRanky.ai may transfer, assign, sublicense or pledge in any manner whatsoever, any of our rights and obligations under this Agreement to a subsidiary, affiliate, successor thereof, or to any third party whatsoever.
13.8. Force majeure. MailRanky.ai is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
13.9. Entire agreement. These Terms (together with the Privacy Policy and with any other incorporated policy) constitute the entire understanding between MailRanky.ai and the User with respect to the subject matter hereof. There are no understandings, agreements, conditions, or representations, oral or written, express or implied, with reference to the subject matter hereof that are not merged herein, expressly referenced herein, or superseded hereby.

13.2. Jurisdiction and Governmental Law. These Agreements, as well as all disputes arising out of or in connection with these Terms, shall be governed by and construed in accordance with the laws of the Republic of Belarus, regardless of choice of law rules or principles. Any dispute arising out of or in connection with these Terms, or in future agreements resulting therefrom, shall be exclusively resolved before the competent court in Minsk.
13.3. International Use. Recognizing the global nature of the Internet, the User agrees to comply with all local rules regarding online conduct and privacy. Specifically, the User agrees to comply with all applicable laws regarding privacy and privacy invasion which apply in the country in which the User resides.
13.4. No support by MailRanky.ai. The User understands that their use of the Product and Services is at their own risk and that MailRanky.ai may – but under no obligation to – provide support or assistance other than the information posted on the Site.
13.5. Severability. If any part or sub-part of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.
